Starting your business

The private limited entity or commonly known as a Sdn Bhd is a type of company that is usually incorporated in Malaysia.

There are many benefits to forming this type of registered entity to carry on your business.

Eligibility to form a Sdn Bhd company

It takes a minimum of 1 director and 1 shareholder to register and form a sdn bhd company. The shareholder and the director can be the same individual. You will need to fulfil the following criteria to qualify as a director of a company:

  1. 18 years and above

  2. Ordinarily residing in Malaysia

  3. Not disqualified under Section 198 of the Companies Act, 2016.

Before you start your Company, it is imperative to understand the roles and responsibilities of being a director and /or a shareholder to ensure that you are compliant and protect your rights in the Company.

Information and documents to prepare

There are several information or decisions that you should prepare prior to embarking with the incorporation, to ensure the process goes on smoothly.

  1. Choose a company name

  2. Decide on the nature of business of the Company

  3. The business address can be added later on but you may have it on hand for the incorporation process.

  4. The registered office address will usually be the office of the Secretary of the Company.

  5. Obtain all the identity documents and make copies thereof for all the directors and shareholders.

  6. Have on hand the residential addresses, mobile phone numbers and also the email addresses of all the shareholders and directors.

  7. Determine the paid up capital and the proportion of shareholding for each shareholder.

Payment needed

There is an incorporation fees of RM1010 (inclusive of tax) that is charged by the SSM. If you engage a professional company secretary to incorporate on your behalf, you would be charged an additional fee.

Company incorporation through the MyCoID portal

It is entirely possible for you to incorporate your own company without engaging a Company Secretary to do it for you. You can do this by registering an account on the MyCoID portal, and verifying your identity at the nearest SSM counter. Then you will need to login in the MyCoID portal and follow the instructions there.

Once your company is incorporated, you will receive an email of the Notice of Registration from the SSM. Within 30 days of receiving this email, it is mandatory to appoint a company secretary.

While you can register the company on your own, you will first need to read up on all the requirements of the registration. Hence, it is highly recommended to engage a company secretary from the start to save you the hassle.
